THIS CORRECTIVE AMENDMENT to its By-Laws is made this 14th day of January 2014 by VILLAGE "A" HOMEOWNERS ASSOCIATION, INC., a Florida notfor-profit corporation (the "Association");
WITNESSETH
WHEREAS, the By-Laws for the VILLAGE "A' HOMEOWNERS ASSOCIATION, INC., were recorded on April 8, 2002, in Official Records Book 1479, at Page 2457, of the Public Records of Indian River County, Florida; and
WHEREAS, Article V of the By-Laws for the VILLAGE "A' HOMEOWNERS ASSOCIATION, INC. was amended on January 23, 2008, in Official Records Book 2239, page 155, of the Public Records of Indian River County, Florida (the ''2008 Amendment"), to change the number and term of office of the Board of Directors; and
WHEREAS, the Association wishes to correct a scrivener's error in the 2008 Amendment by deleting an inconsistency in Article VI, paragraph l of the By-Laws for the VILLAGE "A' HOMEOWNERS ASSOCIATION, INC., rendering it consistent with Article V as amended by the 2008 Amendment; and
NOW, THEREFORE, the Association hereby amends the By-Laws as follows:
ARTICLE VI -NOMINATION AND ELECTION OF DIRECTORS
1. Nomination. Nomination for election to the Board of Directors shall be made by a nominating committee. Nominations may also be made from the floor at the annual meeting. The nominating committee shall consist of a Chairman, who shall be a Member of the Board of Directors and two or more Members of the Association. The nominating committee shall be appointed by the Board of Directors prior to each annual meeting of the Members to serve from the close of such annual meeting until the close of the next annual meeting. The nominating committee shall make as many nominations for election to the Board of Directors as it shall, in its discretion, determine, but not less than, the number of vacancies that are to be filled. Such nominations may be made from among members and non-members only.
The foregoing Corrective Amendment corrects a scrivener's error in the Amendment adopted at a Special Meeting of the Association held on January 23, 2008.
The foregoing Corrective Amendment to the By-Laws of Village "A" Homeowners Association,
Inc. was approved at a meeting of the Association Board of Directors held on January 14, 2014 and approval of the foregoing Corrective Amendment appears upon the minutes of said meeting and is unrevoked.
All provisions of the By-Laws of Village "A" Homeowners Association, Inc. remain in full force and effect, except as previously amended or specifically amended herein.
